Terms of service
Version of 7 October 2026.
These terms apply between Fabian Sigel, Bruggerstrasse 148, 5400 Baden, Switzerland ("we"), and the business that uses Swiss NewCo Feed at https://swissnewco.tollwyn.com, in the web app or through the API ("you"). You accept them when you sign up, on the website or over the API, and again when you subscribe. Whoever signs up, also software acting for someone, confirms that they act for a business and may bind it.
1. For businesses only
Swiss NewCo Feed is offered only to businesses, public bodies and the self-employed for their professional activity, not to consumers.
2. The service
We deliver every new entry of the Swiss commercial register as published in the Swiss Official Gazette of Commerce (SOGC), read from its official open interface, structured, together with website and contact details that the company publishes on its own website. We deliver them through the dashboard, CSV files, a secret CSV link, a JSON API, webhooks and a morning mail. A record shows the entry as published; later changes in the register do not change it. We search for a company's website at most three times (at publication, after 14 and after 42 days) and do not promise to find one. Three years after publication, records no longer carry the people and the full text. We may develop the service further, but we do not remove its main functions during a paid period; changes of the API follow the versioning rules in the docs.
3. No guarantee for the data or availability
We pass on what the gazette publishes and what the companies' websites show, processed by us. We do not guarantee any of the following:
- that the gazette, its interface or the websites are complete, correct, current or available;
- that every entry is delivered, parsed correctly or delivered on time;
- that a contact detail is still valid, or that its owner accepts advertising;
- that the service is always available.
Maintenance and outages of the gazette, of our hosting and network providers or of Stripe can delay or interrupt the service. The legally binding version of an entry is its signed publication in the gazette. Swiss NewCo Feed is not affiliated with the Swiss authorities.
4. Account, keys and delivery channels
You need an account with a valid e-mail address. Keep your password, API keys, webhook secrets and your CSV link secret: anyone who has the CSV link or a key receives your feed. You can replace them in the dashboard at any time, and you are responsible for what is done with them. You choose the addresses of your webhooks and where you use the CSV link; data delivered there count as delivered to you. We may block access that endangers the service or breaks these terms.
5. Plans, prices and payment
- Prices: each plan costs the price shown on the pricing page, in Swiss francs, per month or per year, paid in advance through Stripe.
- VAT: we are not registered for Swiss VAT and charge no VAT; you account for any tax due in your country.
- Renewal and cancellation: a subscription renews at the end of each period until you cancel it in the customer portal; it then ends at the end of the paid period.
- Plan changes: when you change plans, Stripe charges or credits the difference pro rata at once; a credit is set off against later invoices.
- Refunds: otherwise paid periods are not refunded, also not when you have your account deleted, which ends the subscription at once.
- Failed payments: if a payment fails, your plan stays active while Stripe retries; if the subscription ends unpaid, your account returns to the Free plan.
- Limits: the limits of each plan are shown on the pricing page and in the docs; deliveries beyond them are refused.
- Price changes: we may change prices with 30 days' notice by e-mail, effective from your next period; you may cancel before.
6. What you may do with the data
We grant you a non-exclusive, non-transferable right to use the data as your plan allows:
- Free: evaluate the service; no outreach to the companies or people in the data.
- Starter and Pro: inside your own business, for your own sales, marketing, customer care and research.
- Agency: in addition, for work you do for your clients (for example campaigns, mailings, lettershop), as long as you do not hand the data over to them as a dataset.
- Platform: in addition, show individual records inside your own product to its users, naming the source "Swiss Official Gazette of Commerce", as long as they cannot export the records in bulk.
No plan allows any of the following:
- reselling the data;
- passing on the data, or a substantial part of them, as a dataset (a file, an API, a feed or similar) to third parties;
- using the data to build a data service that competes with ours.
You may keep using records you received under a paid plan after it ends, within that plan's licence; section 7 continues to apply to them.
7. Personal data in the data
The records name people (owners, partners, managers, board members, signatories) and can contain e-mail addresses and phone numbers of individuals. We and you are each the controller of our own processing; we do not process personal data on your behalf. You:
- use the data only with a legal basis and in line with the Swiss Federal Act on Data Protection and, where it applies, the GDPR;
- tell the people you contact, at the latest at your first contact, where you got their data (the Swiss Official Gazette of Commerce through Swiss NewCo Feed) and how they can object;
- respect objections and keep a list of the people and companies that objected;
- delete or replace, within 30 days, what our events
company.suppressedandcompany.redactedtell you to, wherever you keep copies, also in your product and at your clients; our change list keeps these events for 90 days on every plan, also after a paid plan ended; - send advertising by e-mail, SMS or similar means only with the recipient's prior consent, with your correct identity and an easy way to opt out (Swiss Unfair Competition Act, UWG Art. 3 para. 1 lit. o); a single, individually written message is not mass advertising;
- make advertising calls only where UWG Art. 3 para. 1 lit. u allows them: not to numbers marked with an asterisk in the telephone directory, nor to numbers without a directory entry, unless you have a business relationship with the person called.
We may suspend your access while we look into a suspected breach of sections 6 or 7. If a third party claims against us because of how you used the data, you hold us harmless and bear the reasonable costs of our defence.
8. Liability
We are liable without limit for intent and gross negligence. For slight negligence, as far as the law permits:
- our liability is limited to the fees you paid in the twelve months before the damage;
- we are not liable for indirect or consequential damage, lost profit or lost data, in particular for an entry delivered late, parsed wrongly or not at all, or for a wrong contact detail.
On the Free plan we are liable only for intent and gross negligence. These limits also apply to the liability for our auxiliaries and subcontractors.
9. Ending
You may cancel your subscription at any time in the customer portal (section 5). To delete your account, write to us from its e-mail address; we delete it within 30 days, as described in the privacy policy. We may end your account with 30 days' notice by e-mail and then refund fees paid for the time after the end. We may end it at once if you seriously break these terms, in particular sections 6 or 7.
10. Changes to these terms
We may change these terms with 30 days' notice by e-mail. If you do not cancel before the change applies, the new version applies from then on.
11. Law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Baden, Switzerland; we may also sue you at your seat. Contact: hello@tollwyn.com.
